1. Acceptance of Terms

By accessing or using RoomFlux's visualization platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into this agreement on behalf of a company or organization, you represent that you have the authority to bind such entity to these Terms.

2. Service Description

RoomFlux provides an AI-powered visualization platform enabling material suppliers and distributors to:

• Upload and manage material catalogs (tiles, paint, wallpaper, flooring)
• Generate photorealistic visualizations of materials in customer rooms
• Integrate visualization capabilities via API
• Access analytics and usage reports

3. Account Registration

• You must provide accurate and complete business information
• You are responsible for maintaining account credential security
• You must notify us immediately of unauthorized access
• One account per business entity; sub-accounts may be created for team members
• You must be 18 years or older and authorized to bind your organization

4. Subscription Plans and Billing

Plans: We offer Starter, Professional, and Enterprise tiers as detailed on our pricing page.

Billing:

• Subscriptions are billed monthly or annually in advance
• Payment is due immediately upon subscription activation
• We accept major credit cards and ACH transfers (Enterprise only)
• All fees are non-refundable except as required by law
• Prices may change with 30 days' notice to existing subscribers

Usage Limits: Each plan includes visualization quotas. Overages are billed at published rates.

5. Acceptable Use

You agree NOT to:

• Upload illegal, infringing, or harmful content
• Use the Service to transmit malware or engage in hacking
• Reverse engineer, decompile, or attempt to extract source code
• Resell or sublicense the Service without written authorization
• Use the Service to compete with RoomFlux
• Exceed API rate limits or abuse system resources
• Upload content depicting minors, violence, or adult material

6. Intellectual Property

Your Content: You retain ownership of materials and images you upload. You grant us a limited license to process, display, and store your content solely to provide the Service.

Our Platform: RoomFlux retains all rights to the Service, including software, algorithms, and AI models. Generated visualizations may be used for your commercial purposes per your subscription.

Feedback: Any suggestions or feedback you provide may be used by us without compensation or attribution.

7. Service Level and Support

Uptime: We target 99.5% uptime (excluding scheduled maintenance). Enterprise plans include SLA guarantees.

Support:

• Starter: Email support (48-hour response)
• Professional: Priority email support (24-hour response)
• Enterprise: Dedicated account manager + phone support

Maintenance: Scheduled maintenance will be announced 72 hours in advance when possible.

8. Data and Privacy

Your use of the Service is governed by our Privacy Policy. We comply with GDPR, CCPA, and other applicable data protection laws. You represent that you have rights to all content you upload.

9. Termination

By You: Cancel anytime from your account settings. Access continues until the end of your billing period.

By Us: We may suspend or terminate accounts that violate these Terms, with 15 days' notice except for material breaches (immediate termination).

Effect of Termination: Upon termination, you may export your data within 30 days. After 30 days, data may be permanently deleted.

10. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT GUARANTEE:

• Uninterrupted or error-free operation
• Accuracy of AI-generated visualizations
• That the Service meets your specific requirements

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROOMFLUX SHALL NOT BE LIABLE FOR:

• Indirect, incidental, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages exceeding fees paid in the 12 months prior to the claim

12. Indemnification

You agree to indemnify RoomFlux against claims arising from: (a) your use of the Service, (b) your content, (c) violation of these Terms, or (d) infringement of third-party rights.

13. Dispute Resolution

Governing Law: These Terms are governed by the laws of the State of Delaware, USA.

Arbitration: Disputes shall be resolved through binding arbitration under AAA Commercial Arbitration Rules, except you may bring claims in small claims court.

Class Action Waiver: You agree to resolve disputes individually, not as part of a class action.

14. Changes to Terms

We may modify these Terms with 30 days' notice. Continued use after changes constitutes acceptance. Material changes affecting pricing or data rights require explicit consent.

15. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and RoomFlux
• Severability: If any provision is unenforceable, the remainder remains in effect
• No Waiver: Failure to enforce any right does not waive that right
• Assignment: You may not assign these Terms without our consent
• Force Majeure: We are not liable for delays due to circumstances beyond our control
